2.1 Pricing

The Domain is offered at the following prices:

• Cash Purchase: $1,000,000 USD
• Installment Plan: $1,250,000 USD total
• 30-Day Option Hold: $50,000 USD (fully credited toward purchase)

2.2 Payment Processing

All payments must be processed through Escrow.com. Buyer is responsible for all Escrow.com transaction fees, wire transfer fees, and any currency conversion costs.

2.3 Transfer Timeline

Domain transfer will occur within 2-5 business days after payment clearance through Escrow.com, subject to registrar processing times. Time is of the essence for all deadlines.

3.1 As-Is Sale

The Domain is sold "as-is" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

3.2 No Guarantees

Seller makes no representations regarding:

• Future value or appreciation of the Domain
• Traffic, revenue, or SEO ranking potential
• Trademark availability or registrability
• Suitability for any specific business purpose
• Technical functionality or compatibility

4.1 Due Diligence

Buyer is solely responsible for conducting all necessary due diligence, including:

• Trademark searches and clearances
• Legal and regulatory compliance verification
• Technical evaluation of the Domain
• Assessment of suitability for intended use
• Review of historical usage and potential liabilities

4.2 Compliance

Buyer assumes all responsibility for ensuring the Domain's use complies with all applicable laws, regulations, and third-party rights in all relevant jurisdictions.

5.1 Escrow Instructions

1. Nature of Funds: The $50,000 is an Option Fee for a 30-day exclusive purchase option. The Option Period starts upon Escrow.com confirmation and expires 11:59 PM UTC on Day 30.
2. No Use During Hold: Buyer shall NOT use the Domain during the Option Period (no DNS changes, content, redirects, email, or announcements).
3. Escrow.com Disbursement Instructions:
   • Exercise: If Buyer exercises option and funds the purchase price, the $50,000 is credited toward total purchase
   • Expiration: If option expires without exercise, Escrow.com releases $50,000 to Seller
   • Seller Breach: If Seller fails to transfer domain after Buyer exercises and funds purchase, Escrow.com will refund the $50,000 to Buyer (funds remain in escrow during option period)
   • Mutual Termination: Funds disbursed per written agreement of both parties
4. Extension: One-time 7-day extension available for $15,000 before expiry (credited to purchase).
5. Fees: Buyer pays all Escrow.com fees.

5.2 Prohibited Actions During Option

During the option period, potential buyer may not:

• Use the Domain for any purpose
• Make DNS changes or redirects
• Configure email services
• Make public announcements about the Domain
• File trademark applications
• Represent ownership or control of the Domain

5.3 Option Terms

The option provides a right, not an obligation, to purchase. Seller may continue marketing the Domain during the option period unless a separate exclusivity agreement is executed.

6.1 Structure

• Minimum 25% down payment ($312,500)
• Balance payable over 12-18 months
• Total price: $1,250,000 USD

6.2 Domain Holding Service

During the installment period, the Domain will be held by Escrow.com's Domain Holding Service. Buyer receives usage rights upon down payment, subject to holding agreement terms.

6.3 Default

• Late payments incur 1.5% monthly interest
• Default after 30 days may result in forfeiture of all payments made
• No refunds on defaulted installment plans
• Seller retains all payments as liquidated damages

7.1 Transfer Cooperation

Seller agrees to:

• Maintain Domain in good standing with registrar
• Cooperate fully with transfer process
• Provide authorization codes promptly upon payment clearance
• Execute any necessary transfer documents

7.2 Representations

Seller represents and warrants:

• Legal ownership of the Domain
• No liens, encumbrances, or disputes
• Authority to complete sale
• Domain is not subject to any UDRP proceedings

12.1 Entire Agreement

These terms, together with Escrow.com's General Escrow Instructions, constitute the entire agreement between the parties.

12.2 No Investment Advice

Nothing on this website constitutes investment, legal, tax, or other professional advice. Buyer should consult appropriate professionals before purchasing. Past domain sales do not guarantee future performance.

12.3 Modifications

These terms may only be modified in writing signed by both parties or as agreed through Escrow.com.

12.4 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

12.5 Assignment

Buyer may not assign rights or obligations without Seller's written consent.

12.6 Force Majeure

Neither party liable for delays due to causes beyond reasonable control, including registrar system failures.
